Leading role in the deal team on the preparation, analysis, negotiation and execution of LDC’s and Lloyds’ £110m investment in a train leasing business which involved a highly complex structure; multiple equity and debt parties and an innovative management incentive arrangement.
The transaction was negotiated and completed at the beginning of the financial crisis at the point the debt markets were closing down; the structure involved multiple corporate and partnership entities with different legal and tax issues. The shareholder base changed significantly over the life of the investment through disposals and exercise of options. There were 2 refinancings and ultimately a very successful exit.
